Senior Legal Counsel – Group Legal, Legal Strategy, Governance and Transformation
You will provide legal advice on corporate governance, company law, legal entity management and related governance matters, helping to maintain and enhance the organisation's governance framework. Working across teams, functions and regions, you will apply legal expertise and judgement to complex governance and company law matters, supporting effective oversight, decision-making and risk management. You will play a key role in developing governance frameworks, policies and ways of working, ensuring legal and governance requirements are appropriately reflected in organisational practices. Operating with a high degree of autonomy, you will influence stakeholders, guide colleagues on governance-related matters and contribute legal expertise to strategic initiatives, organisational change and continuous improvement efforts.
Day to day:
- Provide legal advice on corporate governance, company law and related governance matters.
- Drive the continuous enhancement of governance frameworks, policies and controls, contributing to Legal excellence and operational effectiveness.
- Advise on and resolve complex governance, company law and corporate structuring matters across jurisdictions.
- Coordinate stakeholders to drive alignment, continuous improvement and consistent application of governance standards and practices.
- Support legal entity management and governance oversight by assessing governance developments and coordinating governance, legal entity and legal claims reporting.
- Provide legal and governance expertise to strategic initiatives, transformation efforts and organisational change.
- Act as a subject matter expert on governance-related matters, guiding and supporting junior colleagues.
- Foster strong collaboration across the Legal network by encouraging shared responsibility, collective ownership and aligned ways of working.

Essentials:
- Master's degree in Dutch Law.
- 10 years+ experience advising on corporate governance and company law matters.
- Strong understanding of governance principles, legal entity management and relevant regulatory requirements.
- Experience designing and enhancing governance frameworks, policies, processes and controls.
- Proven ability to apply legal judgment to complex corporate governance and company law matters.
- Strong stakeholder management and influencing skills.
- Experience providing legal and governance advice in strategic governance, transformation or organisational change initiatives.
- Ability to operate autonomously and effectively in complex and evolving environments.
Fluent in English and Dutch.
