EP NL BV (soon to be named TTEP Netherlands BV) is part of the partnership between EPH (Energetický a průmyslový holding) and TotalEnergies, operating across five countries through TTEP BV.
TTEP NL strives for continuous and sustainable growth in energy production, supply and trading activities. We play a key role in ensuring a stable energy supply throughout the energy transition. Established in 2023 through the acquisition of PZEM and power generation assets in the Netherlands, TTEP NL today operates four gas-fired power plants with an installed generating capacity of 2.6 GW, making it one of the largest power generation companies in the Netherlands.
Our trading activities include real-time and intraday optimisation, trading and portfolio management, flexibility services, and long-term structuring and origination.
As the company continues to expand its activities in flexible power generation (including Battery Energy Storage Systems), energy trading and B2B gas and power supply, we are seeking a commercially minded Legal Counsel Energy to contribute to the continued growth of our business in the Dutch energy sector.
The Legal Counsel will act as a trusted business partner to the commercial, trading and operational activities of TTEP NL and its subsidiaries in the Netherlands. You will also collaborate closely with the legal department of TTEP BV in Amsterdam.
Structuring, drafting and negotiating commercial contracts, including:
Gas and power supply contracts;
(Renewable) Power Purchase Agreements (PPAs);
Asset optimisation agreements;
Agreements with trading parties and exchanges (EFETs, MNAs and CSAs);
Tolling agreements.
Structuring, drafting and negotiating M&A and new business development transactions, including:
MoUs and Share Purchase Agreements;
Shareholders' and partnership agreements;
Managing legal due diligence processes.
Analysing and implementing European and Dutch legislation, regulatory developments and case law affecting energy wholesale markets and power generation activities, including:
The Dutch Energy Act;
REMIT, EMIR, MAR and MiFID II;
Environmental and planning legislation;
Privacy legislation (GDPR) and cybersecurity legislation (NIS2).
Providing training and practical guidance to employees regarding these laws and regulations.
Developing a strong understanding of the business and building relationships with key internal and external stakeholders, including the trading department, market participants and regulators (such as ACER, ACM and the Dutch Data Protection Authority).
Providing company secretarial support, including:
Board and shareholder resolutions;
Regulatory and external information requests;
Governance and compliance projects as required.
Providing pragmatic legal advice to procurement, IT and operational teams, including:
Procurement and supplier agreements;
Long-Term Service Agreements (LTSAs);
IT, software and technology agreements.
A university degree in Dutch law or an equivalent legal qualification.
3–10 years relevant experience gained in an international company or law firm, preferably with experience in the energy or utilities sector;
