This is an exciting opportunity to join Chemelex at an important stage of growth as a private equity-backed portfolio company. We are building a practical, business-minded Global Legal & Compliance Team that sits close to the business, helps move strategic priorities forward, and protects the company while enabling smart, fast execution.
We are seeking an energetic, curious, and agile Legal Counsel to report directly to the VP, General Counsel. This role is broader than a contracts position: it is a true in-house counsel role for someone who wants to be a trusted advisor, a commercial partner, and an extra set of legal hands across the function. You will support commercial contracting and project execution, while also contributing to M&A and integration activity, corporate matters, employment law, IP protection and licensing, claims and disputes, compliance, and other strategic legal work across Chemelex's operations in EMEAI, Asia and North America.
The right candidate will enjoy variety, ownership, and direct exposure to senior leaders in a fast-moving industrial and technology environment. You will help the business close deals efficiently, manage risk pragmatically, and build scalable legal processes for a growing global organization. Experience supporting EPC, industrial, oil and gas, data center, or complex project environments is a strong plus.
WHAT YOU WILL DO
- Act as a practical legal advisor to business leaders across EMEAI, helping them identify risk, make informed decisions, and move commercial and strategic priorities forward.
- Draft, review, and negotiate a wide range of commercial agreements, including customer, supplier, subcontractor, procurement, and project-related agreements.
- Partner with Sales, Procurement, Estimating, Proposals, Finance, Project Management, HR, and Operations to support proposals, contract negotiations, project execution, and risk management.
- Support M&A activity, including due diligence, transaction workstreams, document review, disclosure schedules, post-closing integration, legal entity alignment, and related strategic initiatives.
- Assist with corporate matters, including governance, entity management, restructurings, internal approvals, policies, board or sponsor-related requests, and other matters arising in a private equity-backed portfolio company environment.
- Support IP matters, including IP ownership and licensing issues in commercial agreements, R&D and technology collaborations, invention disclosures, patent and trademark portfolio coordination, brand protection, and related diligence or integration work.
- Provide pragmatic support on employment and workplace matters in partnership with HR and external counsel, including employee relations, policy interpretation, investigations, and regional employment law issues.
- Support the management and resolution of customer claims, warranty issues, disputes, liens, financial guarantees, insurance certificates, bonds, letters of credit, and other contentious or risk-related matters.
- Coordinate with external counsel across multiple jurisdictions, managing scope, budget, and practical advice when specialist support is required.
- Help develop and improve legal templates, playbooks, processes, training, and best practices so the legal function can scale with the business.
- Collaborate with the Global Legal & Compliance Team on cross-functional initiatives, compliance matters, and other projects within your area of responsibility.

YOU HAVE
- Qualification as a lawyer in a civil or common law jurisdiction, with strong academic credentials and the ability to provide practical legal counsel in a business setting.
- Approximately 4+ years of relevant legal experience, ideally including in-house experience or secondment exposure in a multinational, industrial, manufacturing, EPC, oil and gas, technology, infrastructure, or private equity-backed portfolio company environment.
- Law firm training or prior private practice experience, ideally with exposure to commercial contracts, corporate transactions, M&A, employment, IP, or other broad corporate legal matters, is strongly preferred.
- Strong commercial contracts experience, including drafting, reviewing, and negotiating complex agreements and advising on legal and business risk.
- Exposure to M&A, integration, corporate governance, restructurings, entity management, or other corporate legal matters; direct deal experience is a strong plus.
- Exposure to IP matters is helpful, including technology development, R&D agreements, licensing, patent or trademark portfolio management, brand protection, or IP ownership issues.
- Working knowledge of employment law matters and the ability to partner effectively with HR and external counsel across jurisdictions.
- Experience with disputes, claims, contract administration, lien law compliance, financial guarantees, insurance, bonds, or letters of credit is helpful.
- Excellent communication, negotiation, judgment, and relationship-building skills.
- English language fluency is required; German, Spanish, French, or other regional language fluency is helpful.
- Willingness to travel occasionally across the region and internationally.
